Working in Tajikistan can provide numerous benefits to your company — but not until you set up a subsidiary. A legal entity is necessary to work in Tajikistan, hire employees, give out benefits, provide compensation, and more. However, it often takes weeks, months, or even up to a year for companies to incorporate in Tajikistan, delaying the rest of their plans to work in the country.

Instead, you can opt for Tajikistan subsidiary outsourcing with G-P. We can use our Tajikistan PEO to help your company work in the country in a day or two without setting up your own subsidiary. Since we’ll be the Employer of Record, we’ll be responsible for all Tajikistan subsidiary laws on your behalf.

How to Set Up a Tajikistan Subsidiary

Learning how to set up a Tajikistan subsidiary will require in-depth thought about your location and business activities. Different cities or regions in Tajikistan might have different laws, which could impact the incorporation process. If you’re not familiar with all the country’s laws, we recommend working with an expert who can help you find a city that’s friendly to foreign incorporation.

Next, you should work with other company executives to figure out what level of activity you’ll want in Tajikistan. Companies can incorporate as a limited liability company (LLC), joint stock company, branch, or representative office, but your choice should depend on how you’ll work. If you want to perform a wide range of activities, you should incorporate as an LLC. Meanwhile, companies maintaining only a minimal presence can incorporate as a branch or representative office.

The Tajikistan subsidiary setup process will include the following steps if you incorporate as an LLC:

  • Completing an application form for state registration of your legal entity
  • Providing information on the founder and possible business activities
  • Creating a resolution of founders on the establishment of the legal entity
  • Providing a copy of the passport of the CEO
  • Obtaining a receipt proving the payment of registration fees
  • Obtaining a state registration certificate and Tax Identification Number (TIN)
  • Obtaining a statistic code and Social Protection and Pension number (PIN) through an additional application

Tajikistan Subsidiary Laws

Tajikistan’s subsidiary laws are different for LLCs than for other entities. For example, you need at least one shareholder and one director who can be an individual or a legal entity. You’ll require at least $105 in minimum paid-up share capital, but that only needs to be paid within the first 12 months of incorporation. Every shareholder is limited in liability based on the amount of capital they contribute.

Your company’s founding document has to be accompanied by a charter if you have more than one shareholder. Then, you must enter your LLC into the Unified State Registry for legal entities. The application needs to include the founding documents, which you must get notarized in Tajikistan.

Benefits of Setting Up a Tajikistan Subsidiary

The Tajikistan subsidiary setup process may be long and arduous, but it can benefit you by allowing you to start working in the country. LLCs will also help your company by protecting your parent company from the subsidiary’s actions and ensuring that the subsidiary can form its own rules and ways of working.

However, you won’t get these benefits until you spend months trying to set up your subsidiary, and that’s without any fines or delays. G-P offers Tajikistan subsidiary outsourcing to help you expand in as little as a day or two. You won’t have to set up your own subsidiary because you can use our Tajikistan PEO. When you work with our global PEO, we’ll handle all Tajikistan subsidiary laws on your behalf, so you can concentrate exclusively on managing your company.

Other Important Considerations

Companies still choosing to expand on their own can benefit from preparing for the subsidiary setup process. Start by talking to your accounting department about how much money you’ll need for every step of your expansion. If you have a smaller company, delegate tasks between important staff members so that you can keep running your company at home while expanding to Tajikistan.
